- Prudently evaluate transaction structure and terms
- Analyzing company financials and future projections to determine the fair market value of the company's shares in good faith
- Evaluate and hire qualified independent appraisers and experienced ESOP legal counsel
- Negotiate and close ESOP transactions that are in accordance with the ESOP Plan, ERISA, and the Internal Revenue Code
